UNGANI OS — Terms & Conditions
1. Introduction
These Terms & Conditions ("Terms") govern the use of UNGANI OS (the "System," "Platform," or "Service"), operated by UNGANI ("UNGANI," "we," "us," or "our"), a business support and coordination company based in Mombasa, Kenya. By registering for, accessing, or using UNGANI OS, you ("Client," "you," or "your") agree to be bound by these Terms.
If you do not agree with these Terms, you should not register for or use UNGANI OS.
2. Description of Service
UNGANI OS is an operational management platform that helps businesses track and organize their money records, assets/stock, tasks, staff, documents, and reports through a dashboard tailored to their business type.
UNGANI OS is not:
- A payment processor. We do not process, hold, or move client funds.
- An accounting or tax filing service.
- A procurement or purchasing platform. We do not transact on a client's behalf.
- A licensed financial institution.
Clients remain solely responsible for their own financial records, tax obligations, and business decisions. UNGANI OS is a record-keeping and operational visibility tool, not financial, legal, or tax advice.
3. Account Registration and Approval
- Access to UNGANI OS requires registration and admin approval following confirmed payment.
- You must provide accurate, current information during registration and keep your account details up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- UNGANI reserves the right to decline, suspend, or terminate any account at its discretion, including for non-payment, misuse, or violation of these Terms.
4. Subscription Packages and Billing
- UNGANI OS is offered under subscription packages (Starter, Growth, Business, Custom, or other packages as published) with defined user limits and monthly pricing.
- Package prices, features, and user limits may be updated by UNGANI from time to time, with reasonable notice to active clients.
- Payments are billed monthly unless otherwise agreed in writing.
- Failure to pay may result in your account moving to read-only mode after a grace period, and full suspension after continued non-payment, as described in Section 8 (Data Retention).
- Upgrade requests are subject to UNGANI's approval.
5. User Roles and Responsibilities
UNGANI OS operates on a tiered access structure:
- UNGANI Admin — manages client accounts, billing, support, and platform-wide system health.
- Client (Owner/Admin) — the business account holder, responsible for their own business data and for managing their own staff accounts.
- Staff — individuals invited by the Client, with access limited to what the Client permits.
The Client is responsible for:
- The accuracy of data entered into the system by themselves or their staff.
- Managing and revoking staff access appropriately (e.g. when an employee leaves).
- Ensuring their use of the platform complies with applicable Kenyan law.
6. Data Ownership
- All business data entered into UNGANI OS by a Client (transactions, records, documents, contacts, etc.) belongs to the Client.
- UNGANI does not claim ownership of Client business data and will not use it for purposes outside providing and improving the Service, except as described in our Privacy Policy.
- Clients may request an export of their data at any time.
7. Multi-Branch and Multi-Tenant Structure
- Where a Client operates multiple branches, access and data may be further scoped by branch as configured by the Client's account owner.
- Each Client's data is logically separated from other Clients' data. UNGANI takes reasonable technical measures to prevent cross-client data access.
8. Data Retention, Deletion, and Account Suspension
- Deleted records are retained in a recoverable state for 30 days before permanent deletion, to protect against accidental loss.
- If payment lapses, the account may move to read-only access after a grace period, and to full suspension after continued non-payment. Data is not deleted solely due to non-payment; access is restricted until payment resumes or the Client requests an export.
- Upon account cancellation, Clients may request a full export of their data within 30 days before data may be permanently deleted from UNGANI's systems.
9. Acceptable Use
Clients and their staff agree not to:
- Use UNGANI OS for any unlawful purpose.
- Attempt to access another Client's data without authorization.
- Interfere with or disrupt the platform's operation (including attempts to overload, hack, or reverse-engineer the system).
- Upload content that is fraudulent, defamatory, or infringes on the rights of others.

10. Service Availability
- UNGANI OS is provided on an "as available" basis. While we aim for high uptime and reliability, we do not guarantee uninterrupted or error-free service.
- Scheduled maintenance or unexpected downtime may occur. We will make reasonable efforts to notify Clients of planned maintenance in advance.
11. Limitation of Liability
- UNGANI provides UNGANI OS as an operational tool to support business record-keeping and organization. Clients remain responsible for verifying the accuracy of their own records and for their business, financial, and tax decisions.
- To the maximum extent permitted by law, UNGANI shall not be liable for indirect, incidental, or consequential damages arising from use of the platform, including but not limited to loss of profits, business interruption, or data loss beyond our stated recovery provisions.
- Nothing in these Terms limits liability that cannot be excluded under Kenyan law.
12. Intellectual Property
- UNGANI OS, including its software, design, branding, and underlying structure, is the property of UNGANI. Clients are granted a limited, non-exclusive license to use the platform for their own business operations for the duration of their active subscription.
- Clients retain ownership of their own business data and content uploaded to the platform.
13. Changes to These Terms
UNGANI may update these Terms from time to time. Material changes will be communicated to active Clients via the platform or email. Continued use of UNGANI OS after such changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts of Kenya.
